STS Connect – Terms of Use

Purpose
icotec Medical, Inc. (“icotec”) is proud to be the sponsor of the Spine Therapy Society (“STS”), an educational group driven by healthcare professionals (“HCPs”) to bridge disciplines along the patient journey and advance therapy concepts. The STS offers a platform that is built on science and research, training and education, and provides opportunities to exchange insights with other healthcare professionals in-person and virtually.
In furtherance of the STS Mission, icotec is sponsoring a non-commercial website called STSConnect to provide free online access for STS HCP speakers and attendees in the United States to continue to engage in peer-to-peer educational, scientific, clinical, disease, and product-related discussions (the “Purpose”).
icotec reserves the right to update or terminate STSConnect at any time without notice.
icotec’s Role
icotec’s role on STSConnect is to administer the website and monitor activities, both to ensure compliance with these Terms of Use and to gain insights related to the Purpose. icotec does not participate in or moderate HCP discussions on STSConnect but reserves the right to remove content that violates these Terms of Use.
Acceptance of the Terms of Use
Your access to and use of STSConnect (including all functionality and content) are subject to the following terms and conditions and constitutes acceptance of these terms (“Terms of Use”) as well as STSConnect Privacy Policy both of which may be updated periodically without notice.
By accessing or using STSConnect (including all functionality and content), you agree to: (i) comply with these Terms of Use and all applicable laws, rules, regulations, and principles of medical ethics; (ii) use STSConnect only for the Purpose; and (iii) use STSConnect in a courteous and professional manner. You must not knowingly upload or share any content that is offensive, illegal, false, misleading, or promotional in nature.
Accessing STSConnect and Account Security
To access STSConnect, you must be an HCP in the United States and register with your accurate and current professional credentials. icotec may verify your identity and professional credentials in accordance with applicable laws.
You agree not to share your STSConnect log-in details or provide any other people with access to your STSConnect account. If you become aware of unauthorized use of your account details, notify us immediately at info@icotec-medical.com. We reserve the right to revoke your access to STSConnect and take any necessary administrative and/or legal measures to protect STSConnect.
Content and Intellectual Property Rights
icotec does not claim any ownership over any content that you or other users create, submit, post, or display on STSConnect, including but not limited to questions, comments, suggestions or the like (“User Content”). You agree to ensure that you have the legal right to provide any User Content and shall not share any confidential or proprietary information on STSConnect. You shall not share any information that may constitute personal data, medical information, protected health information and/or individually identifiable information without having the legal right to do so.
Any User Content submitted by you shall be deemed to be non-confidential. By your submission of any User Content on STSConnect, you grant other users and icotec an unrestricted, irrevocable license to use, reproduce, display, perform, modify, transmit, and distribute such information. Other users and icotec shall be free to use any User Content, including ideas, concepts, know-how or techniques contained in such information for any purpose whatsoever.
icotec may host virtual STS events or provide content from the STS events (e.g., presentations, articles, images, videos) on STSConnect (“STS Content”). icotec owns and retains all rights related to the STS Content. You may use STS Content solely for the Purpose. No right, title or interest in any STS Content is transferred to you and you may not use, alter, copy, distribute, transmit, or derive another work from STS Content outside of the STS or STSConnect, except as expressly permitted.
The trademarks, logos, service marks, brand identities, title, characters, trade names, graphics, designs, and other properties (the “Trademarks“) displayed on STSConnect or the content are protected intellectual properties that are registered and unregistered trademarks of icotec, its licensors, or users. Nothing contained on STSConnect or the content should be construed as granting, by implication, or otherwise, any license or right to use any such Trademark without the written permission of the Trademark owner.
No Reliance on Content
content provided on or through STSConnect is made available solely for the Purpose and is provided “as-is” without warranty regarding the accuracy, completeness, or usefulness of the information. All USER content, statements or opinions are solely the opinions and the responsibility of the respective Users. ICOTEC disclaimS all liability and responsibility arising from any reliance placed on any USER content.
Disclaimer of Warranties
IN NO EVENT WILL ICOTEC OR ITS AFFILIATES BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR OTHER INDIRECT DAMAGES ARISING OUT OF: (I) THE USE OF OR INABILITY TO USE STSCONNECT OR THE CONTENT, (II) ANY TRANSACTION CONDUCTED THROUGH OR FACILITATED BY STSCONNECT; (III) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN STSCONNECT OR THE CONTENT; (IV) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR (V) ANY OTHER MATTER RELATING TO STSCONNECT, OR THE CONTENT, EVEN IF ICOTEC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF YOU ARE DISSATISFIED WITH STSCONNECT, THE CONTENT, OR WITH THE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE WEB SITE.
BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH STATES, ICOTEC’S LIABILITY IS LIMITED AND WARRANTIES ARE EXCLUDED TO THE GREATEST EXTENT PERMITTED BY LAW, BUT SHALL, IN NO EVENT, EXCEED $100.00.
Indemnification
You shall indemnify, defend, and hold icotec, its affiliates, its officers, directors, employees, agents, successors and assigns harmless from and against all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of, in connection with or related to your use, or misuse of STSConnect, or your violation of these Terms of Use.
Governing Law and Jurisdiction
Your use of STSConnect and these Terms of Use are governed by the laws of the Commonwealth of Massachusetts. You agree to the exclusive jurisdiction of the courts of Boston, Massachusetts for any claim or cause of action arising out of, relating to, or in connection with STSConnect or these Terms of Use.
Waiver and Severability
No waiver by icotec of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of icotec to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision. If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
